Company re-registration 150 EUR
If you own property or land in Bulgaria through a registered company the Bulgarian government requires that you re-register the company by the end of 2010. This is a standard procedure prompted by the new EU regulations – up till now every regional court had its own trade register and the new requirement is that there must be one unique trade register for the whole territory of Bulgaria. What happens if you do not re-register? The Government will start a procedure for liquidation of the company, and all liquidation expenses will be to your account; on top of that you will have to pay a fine.
The process of re-registration comprises three stages:
- Issuing a specific “Actual state of the company for re-registration” from the Court Office where your company is registered.
- Filling in and submitting all necessary documents for re-registration at the new trade register.
- Obtaining a Certificate for the re-registration.
Our fee of 150 EUR includes all administrative, translation, notary fees, etc. for the re-registration.
After the company is re-registered, the annual financial reports of the company for 2007 and 2008 have to be submitted at the new trade register.
Please note that submitting the annual financial reports is not actually a part of the re-registration process but there is a requirement for this to be done maximum two months after the re-registration of the company.
To complete the re-registration process we will need:
- Copy of Court Decision
- Copy of Bulstat Card
- Specific Power of Attorney (if you are not present at all three stages)
- Company Stamp
- Copy of Company agreement
- Annual financial reports from 2007 onwards.
- Set of documents for re-registration (prepared by us)
We will prepare and fill in all necessary documents for you to sign. We strongly advise that you are present at the re-registration process, as there are documents that have to be notarized. If you are doing everything from abroad you will need to visit a notary public or the Bulgarian embassy for an apostil.
Please do not confuse the completion of your yearly accountancy with the company re-registration procedure. While annual accountancy has to be performed every year, company re-registration is a one-off process.
